Physical cash pooling moves funds between accounts to concentrate cash in one place; notional pooling offsets account balances to optimize interest without moving any money. Physical pooling gives you real, consolidated cash and tight control — at the cost of intercompany positions and daily movements. Notional pooling preserves each entity's balance and autonomy — at the cost of depending heavily on your bank's support and on legal and tax treatment that varies by jurisdiction. The right choice depends on your structure, your banks, and your appetite for intercompany and cross-border complexity.

Physical cash pooling: concentration

In a physical pool (also called cash concentration), balances are physically swept between participating accounts and a central header account so the group's cash sits in one place, ready to fund, invest or offset borrowing. Because money actually moves between legal entities, each sweep creates an intercompany loan that must be tracked, priced and documented.

Physical pooling comes in two main flavours:

  • Zero balancing — every participating account is swept to zero each day; all cash concentrates in the header. Maximum concentration, but local accounts start each day empty.
  • Target balancing — accounts are swept to a defined target (not zero), leaving a working balance in the local account. Less concentration, but operationally gentler where entities need a buffer.

Notional cash pooling: offset

In a notional pool, no cash moves. Each account keeps its own balance, and the bank simply offsets the credit and debit balances across the pool to calculate net interest — so a group can effectively use surplus in one account against an overdraft in another without an intercompany transfer. Entity balances and autonomy are preserved, and there are no intercompany loans to administer.

The catch: notional pooling depends entirely on the bank offering it and on the legal right of set-off holding up in each jurisdiction. Regulatory capital treatment has led some banks to restrict or withdraw cross-border notional pooling, so availability is not guaranteed.

The pattern: physical pooling pushes the complexity into intercompany (loans, pricing, docs); notional pushes it into bank and legal dependence (set-off, guarantees, availability). Choose the complexity you can actually administer.

When to use which

  • Physical when you want genuine cash concentration — to fund centrally, invest surplus, or reduce gross external borrowing — and you can administer intercompany positions. It's the backbone of most in-house-bank structures.
  • Notional when you want interest optimization without disturbing entity balances or creating intercompany loans, and your bank supports it in your jurisdictions with acceptable tax and legal treatment.
  • Both — many groups run physical concentration domestically and notional (or none) cross-border, shaped by what each bank and jurisdiction allows.

What usually goes wrong

  • Underestimating intercompany. Physical pooling silently generates intercompany loans; without proper tracking, pricing (arm's length) and documentation, you create a tax and audit problem.
  • Assuming notional is available. Structures designed around cross-border notional pooling that a bank then restricts or withdraws — check availability and legal set-off before you design around it.
  • Tax and legal blind spots. Withholding tax on intercompany interest, thin-capitalization rules, and the enforceability of set-off vary by country; pooling structures need tax and legal review, not just a treasury design.
  • Cross-border and currency complexity. Multicurrency and cross-border pooling add FX, regulatory and repatriation constraints that a single-country design ignores.
